These Terms of Use (“Terms”) govern your access to and use of the Simuhealth website, application, and related products and services (collectively, the “Services”), operated by Simuhealth Technologies Inc. (“Simuhealth,” “we,” “us,” or “our”).
By creating an account, clicking to accept these Terms, or otherwise accessing or using the Services, you agree to be bound by them. If you are using the Services on behalf of an organization, you confirm that you have the authority to bind that organization to these Terms.
1. Purpose of the Services
Simuhealth is a digital platform built for education, training, and simulation management in healthcare and related professional settings. Our goal is to help teams practice, prepare, and perform — in a safe and structured environment.
Important: The Services are not intended to provide medical advice, clinical decision-making, diagnosis, or treatment. They are not a medical device and must not be used as a substitute for professional judgment, clinical protocols, or regulatory compliance.
2. Eligibility and Account Registration
To use the Services, you must be at least 18 years old (or the applicable age of majority in your jurisdiction).
When you register, you agree to:
• Provide accurate, current, and complete information
• Keep your login credentials secure
• Notify us promptly of any unauthorized access to your account
You are responsible for all activity that occurs through your account.
3. License to Use
Subject to your compliance with these Terms, Simuhealth grants you a limited, non-exclusive, non-transferable, non-sublicensable, and revocable license to access and use the Services for lawful, internal purposes only.
No rights are granted beyond what is expressly stated in these Terms.
4. Intellectual Property
The Services — including all software, content, designs, interfaces, text, graphics, logos, and functionality — are owned by or licensed to Simuhealth and are protected by applicable intellectual property laws.
You retain ownership of the content and data you submit to the Services (“User Content”). By submitting User Content, you grant Simuhealth a limited, worldwide, royalty-free license to host, process, transmit, and display that content solely as necessary to operate, maintain, and improve the Services.
5. Acceptable Use
We want the Services to be a trusted, professional environment. You agree not to:
• Use the Services for any unlawful, unauthorized, or deceptive purpose
• Upload content you do not have the legal right to use or share
• Upload patient medical records or regulated health information unless expressly authorized in writing by Simuhealth
• Reverse engineer, decompile, or attempt to extract source code from the Services
• Interfere with or disrupt the security or integrity of the Services
• Circumvent access controls or share your login credentials
• Present simulation outputs as clinical outcomes or medical advice
We reserve the right to investigate and take appropriate action for any violations, including suspension or termination of access.
6. Service Availability and Changes License to Use
We work hard to keep the Services running smoothly. That said, we may modify, suspend, or discontinue any part of the Services at any time — with or without notice. We are not liable for any resulting impact on your access or use.
7. Termination
We may suspend or terminate your access to the Services at any time, including:
• For violation of these Terms
• For security, legal, or operational reasons
• At our discretion, with or without notice
Upon termination, your license to use the Services ends immediately.
8. Privacy
Your use of the
Services is governed by our
Privacy Policy, which is incorporated into these
Terms by reference. We encourage you to read it.
9. Disclaimer of Warranties
The Services are provided "as is" and "as available." To the maximum extent permitted by law, Simuhealth disclaims all warranties, express or implied, including implied warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the Services will be error-free, secure, or uninterrupted.
10. Limitation of Liability
To the maximum extent permitted by law, Simuhealth is not liable for any indirect, incidental, consequential, special, or punitive damages. Simuhealth’s total liability arising out of or relating to the Services shall not exceed the amount you paid to Simuhealth in the twelve (12) months preceding the claim.
11. Indemnification
You agree to indemnify, defend, and hold harmless Simuhealth and its officers, directors, employees, and affiliates from any claims, damages, losses, or expenses (including reasonable legal fees) arising from:
• Your use of the Services
• Your User Content
• Your violation of these Terms or applicable law
12. Governing Law and Venue
These Terms are governed by the laws of the Province of British Columbia and the applicable federal laws of Canada, without regard to conflict-of-law principles.
13. Changes to These Terms
We may update these Terms from time to time. When we do, we’ll update the “Last Updated” date at the top. Continued use of the Services after changes are posted means you accept the revised Terms.
